To enroll with ACE-Net, there are two simple steps:

  1. Determine whether you qualify as an "Accredited Investor" as defined by the U.S. Securities and Exchange Commission (SEC); and
  2. Complete and send in your Investor Application, along with the annual enrollment fee, and receive a password from the Network Operator (please contact the local Network Operator for more information on the enrollment fee).

1. Determine Whether You Qualify:

Pursuant to SEC Regulation D, Rule 501, an "Accredited Investor" is a natural person or an institution that meets one of the following qualifications:

INDIVIDUAL ACCREDITED INVESTOR:

  • Any natural person whose individual net worth, or joint net worth with that person's spouse, exceeds $1,000,000; or
  • Any natural person who had an individual income in excess of $200,000 in each of the two most recent years, or joint income with that person's spouse in excess of $300,000 in each of those years, and has a reasonable expectation of reaching the same income level in the current year.

INSTITUTIONAL INVESTORS:

  • any bank as defined in section 3(a)(2) of the Securities Act of 1933, or a savings and loan association or other institution defined in section 3(a)(5)(A) of the same Act, whether acting in its individual or fiduciary capacity; or
  • any broker or dealer registered pursuant to section 15 of the Securities Exchange Act of 1934; or
  • any insurance company as defined in section 2(13) of the Securities Act of 1933; or
  • any investment company registered under the Investment Company Act of 1940, or a business development company as defined in section 2(a)(48) of that Act; or
  • any Small Business Investment Company licensed by the U.S. Small Business Administration under section 301(c) or (d) of the Small Business Investment Act of 1958; or
  • any plan established and maintained by a state, its political subdivisions, or any agency or instrumentality of a state or its political subdivisions, for the benefit of its employees, if such plan has total assets in excess of $5,000,000.

2. Complete the Investor Application:

If you are an Accredited Investor as defined above, you may now fill out an application using the link below and submit it online. Your application will then be sent to your nearest Network Operator. Be assured that all information you provide on your Investor Application is kept strictly confidential. ACE-Net is a fee-based listing service. While the maximum amount that any ACE-Net regional Network Operator can charge is $450, some Network Operators are funded by states that compensate the fee for their in-state investors. Please check with your local Network Operator for the current information on the annual enrollment fee. The latest list of official ACE-Net Network Operators can be found in "Local Operators".

Once your application has been processed, the Network Operator will send you (by regular mail, facsimile or E-mail) a password that will allow you unlimited access for one year to the ACE-Net Company Database, where you can begin your search for investment opportunities. When you receive your password, you may go directly to "Search the ACE-Net Company Database".

PLEASE NOTE: The very first time you enter your password to access the ACE-Net Company Database, you will be asked to complete a one-time Investor Verification and Optional Survey form:

  • The form will ask for your name, title, business, address, telephone and facsimile numbers, and E-mail address, in order to match your identity with the information you submitted in your Investor Application and to activate the automatic E-mail notification program.
  • Additionally, you will be asked to complete a confidential Optional Survey concerning your business and investing experience. The Optional Survey is a part of a long-term study on private investors, conducted by universities, to gather and analyze data on early stage equity markets. The information you provide in the Optional Survey will be kept in the strictest confidence as it is transferred and stored in an off-line computer system, secure from Internet access. The information you provide will not be used for any purpose other than academic research, which will use your information in an anonymous manner.
